Blocksight Holdings Co. is a corporation incorporated in the State of Delaware ("Blocksight," "BlocksightAI," "we," "us," or "our"), that provides an artificial-intelligence-powered, online agent ("Agent"). The Agent generates responses by combining the user's task and project data on the Platform with content drawn from a curated knowledge base contributed by Blocksight and by named third-party expert contributors.

You ("User" or "you") may use the Agent only if you first affirmatively agree to this Disclaimer and the Terms. As a condition of access, you will be required to manifest your assent through an affirmative act, such as checking an unchecked box or clicking a button clearly labeled to indicate acceptance, before you first use the Agent. In addition, a clear and conspicuous notice that the Agent can produce inaccurate or fabricated output, together with a hyperlink to this Disclaimer, will be displayed inline within or immediately adjacent to the Agent's chat interface at the point of use. Your mere access to, or use of, the Agent, without such an affirmative act of assent, does not by itself constitute acceptance of this Disclaimer; by using the Agent you represent that you have completed the required acceptance. This Disclaimer is incorporated by reference into, and forms part of, the Blocksight Terms of Service (the "Terms") and Privacy Policy (the "Privacy Policy"). Capitalized terms used but not defined in this Disclaimer have the meanings given to them in the Terms.

1. The Agent

The Agent is a purpose-built AI-powered workflow solution designed to assist with Blocksight services. Agent is capable of preparing draft materials for potential submission to third parties, including regulatory bodies, exchanges, custodians, entity formation agents, market-maker desks, and tax authorities. Use of the Agent is entirely at your direction and subject to your control. The Agent will never take any Authorized Action, transmit any document, execute any submission, or otherwise interact with any external third party without your explicit prior review and affirmative consent through the Human-in-the-Loop Gate (as defined in the Terms). Specifically, before any agent-prepared material may be transmitted to any external party, you must: (i) review the complete draft in your Blocksight dashboard; (ii) make any modifications you deem appropriate; and (iii) click the designated approval control to authorize that specific action. You are at all times the principal who directs and authorizes each action. Blocksight is not your agent, does not act on your behalf in any legal sense, and assumes no agency relationship, apparent authority, or fiduciary duty in connection with agent-assisted workflows.

The Agent will never take any action, transmit any document, or interact with any third party on your behalf without your explicit prior review and affirmative consent through the mandatory Human-in-the-Loop Gate. You are the principal and decision-maker for all agent-assisted actions; Blocksight assumes no agency relationship with you. Further, the Agent may produce output which is inaccurate, incomplete, out of date, fabricated, or otherwise unreliable (commonly referred to as a "hallucination").

2. Informational Purposes Only; No Professional Advice

All content generated by the Agent is provided for general informational purposes only and on an "as is" and "as available" basis. Regardless of the tone, format, specificity, or apparent authority of any response, the Agent's output does not constitute, and shall not be construed as, (a) legal advice or the practice of law in any jurisdiction; (b) financial, investment, securities, brokerage, accounting, or tax advice; (c) regulatory, compliance, sanctions, licensing, or anti-money-laundering guidance; (d) fiduciary advice or any form of investment recommendation; or (e) an offer, solicitation, or recommendation to issue, distribute, buy, sell, hold, or otherwise transact in any token, digital asset, security, or other instrument. Blocksight does not market, hold out, or provide the Agent as a substitute for the advice of a licensed attorney, certified public accountant, broker-dealer, investment adviser, or other qualified professional. Without limiting the foregoing, the Agent's output does not constitute, and shall not be construed as: (f) the practice of law, legal drafting, or legal representation in any jurisdiction; the preparation by the Agent of any document that may affect legal rights is performed solely as an information-assembly function at your direction and does not constitute the practice of law by Blocksight; (g) tax preparation, tax advice, or tax return preparation services within the meaning of applicable law; in particular, the Agent is not a "tax return preparer" as defined in I.R.C. § 7701(a)(36) or any comparable state or foreign provision, and Blocksight is not responsible for the accuracy, completeness, or timeliness of any tax-related output; or (h) brokerage, dealer, finder, or investment-adviser services; the Agent does not execute securities or digital-asset transactions, does not intermediate or facilitate the purchase or sale of securities or digital assets, and is not a registered broker-dealer, investment adviser, commodity trading adviser, finder, or municipal adviser under applicable law.

No attorney-client, fiduciary, advisory, or other professional relationship is formed between you and Blocksight, between you and any third-party contributor identified in source attribution, or between you and any law firm, accountant, market maker, custodian, exchange, or other professional referenced in any response, by reason of your use of the Agent. Furthermore, no agency relationship, including actual, apparent, or ostensible agency, is created between you and Blocksight by reason of your use of the Agent or by any agent-assisted action taken at your direction. Blocksight does not act as your agent, representative, or fiduciary in connection with any filing, application, submission, or third-party interaction, even where the Agent has prepared the relevant materials at your direction.

3. Nature and Limitations of the Agent's Output

The Agent is powered by one or more large language models. Such models may generate output that is inaccurate, incomplete, outdated, internally inconsistent, fabricated, non-existent, unsupported, "hallucinated," or otherwise unfit for your particular purpose. A "hallucination" includes, without limitation, an output that invents facts, statutes, cases, citations, figures, quotations, sources, or events that do not exist or that misstates them, and that may nonetheless be presented in a fluent and authoritative manner. The Agent may misinterpret the scope of a query, omit material context, fail to reflect recent changes in law, regulation, market conditions, vendor terms, or counterparty practices, or produce responses that appear authoritative but are not. No representation, warranty, or guarantee is made by any Blocksight Party as to the accuracy, completeness, reliability, or currency of any output, and you must not treat any output as a statement of fact upon which you may rely without independent verification. Where a response includes references to specific vendors, providers, exchanges, jurisdictions, cost benchmarks, timelines, document templates, or other particulars, those references are illustrative only and may not reflect current availability, pricing, terms, suitability, or willingness to engage. Any marketing or promotional statement, including, without limitation, any claim that the Agent produces outputs that are "cited," "grounded," or free of "hallucinations," does not modify, supplement, or supersede this Section 3 or any other accuracy disclaimer in this Disclaimer or in the Terms. Such marketing statements describe aspirational design goals and benchmarked performance in controlled conditions; they are not warranties of output accuracy in any specific interaction. You must independently verify all outputs regardless of any such marketing characterization.

Where the Agent displays source attribution, such attribution identifies one or more contributor organizations whose materials were drawn upon in generating the response. Attribution is presented at the document level and is intentionally over-inclusive. The display of an attribution does not constitute a representation or endorsement by the named contributor of the specific response, nor does it confer any obligation or liability on the contributor with respect to that response.

4. User Responsibility; Independent Verification

You are solely responsible for evaluating, verifying, and acting upon the Agent's output. Prior to making any decision, communication, filing, transfer, contractual commitment, public statement, or other action that may carry legal, regulatory, financial, tax, contractual, reputational, or commercial consequences in reliance on the Agent's output, you agree that you will (i) independently verify the relevant facts against authoritative primary sources, and (ii) consult licensed legal counsel, qualified tax and accounting professionals, and any other appropriate advisors of your own selection, admitted or qualified in the relevant jurisdiction.

Where you authorize the Agent to prepare and transmit any document, filing, application, or communication to a third party through the Human-in-the-Loop Gate, you acknowledge and agree that: (i) you have reviewed the complete draft and all associated materials before providing your approval; (ii) you are solely and exclusively responsible for the accuracy, completeness, legality, and consequences of that submission; (iii) any false, misleading, or inaccurate submission (including KYB/KYC applications, exchange listing forms, regulatory filings, or tax elections) creates your liability and not Blocksight's; (iv) for time-sensitive filings (including 83(b) elections, which must be filed within 30 days of the triggering event), you and your qualified advisors, not the Agent, are responsible for meeting all deadlines; and (v) you represent and warrant that you have the legal authority to direct such submission and that all information you have supplied is accurate and complete. You must engage qualified licensed counsel, a licensed corporate services provider/registered agent, and/or a qualified tax professional before finalizing or transmitting any agent-prepared materials involving entity formation, tax filings, securities registrations, exchange listings, or custody onboarding.

The categories of decisions for which independent professional advice is required include, without limitation: entity selection and formation; jurisdiction selection; token classification and characterization; securities, commodities, or other regulatory treatment of token issuances, transfers, or distributions; structuring and execution of private and public fundraising; employee, advisor, and investor token-related agreements; exchange listings and market-maker engagements; custody, multi-signature, and wallet architecture; treasury management; airdrops and other distributions; marketing, disclosure, and investor communications; sanctions, anti-money-laundering, and know-your-customer obligations; and tax planning, reporting, and withholding. Without limiting the foregoing, the following categories of agent-assisted tasks require consultation with qualified licensed professionals before you authorize any submission through the Human-in-the-Loop Gate: (a) Cayman Islands or other offshore entity formation must be conducted through a licensed corporate services provider/registered agent in the relevant jurisdiction; (b) 83(b) elections and all other time-sensitive IRS or tax-authority filings must be reviewed by a qualified tax professional; errors or missed deadlines are irreversible; (c) exchange listing applications, KYB/KYC submissions, and AML/sanctions certifications must be reviewed for accuracy and legal compliance before submission; (d) custody onboarding applications; Blocksight does not hold assets and is not a party to custody arrangements; and (e) market-maker RFQ packages and liquidity-provider agreements are not investment or brokerage advice; you select and contract directly with all counterparties.

You further agree that you will not rely solely on the Agent's output for any submission, disclosure, representation, or warranty made to any regulator, investor, employee, exchange, counterparty, or other third party.

5. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Agent is provided "AS IS" and "AS AVAILABLE," with all faults and without warranty of any kind, whether express, implied, statutory, or otherwise. Blocksight and its affiliates, officers, directors, employees, contractors, contributors, licensors, model and inference providers, suppliers, and agents (collectively, the "Blocksight Parties") expressly disclaim all warranties, including, without limitation, any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, currency, reliability, availability, security, and quiet enjoyment, and any warranties arising out of course of dealing, course of performance, or usage of trade. No Blocksight Party warrants that the Agent will be uninterrupted, secure, or error-free, or that any output will be accurate, reliable, current, or suitable for any particular use.

6. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall any Blocksight Party be liable to you or to any third party for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, business opportunities, goodwill, data, regulatory penalties or fines, tax liabilities, contractual liabilities, token value, or anticipated savings, in each case arising out of or in connection with (a) your use of, or inability to use, the Agent; (b) any reliance on, or decision made on the basis of, the Agent's output; (c) any act or omission of any third party referenced in any response; or (d) any error, omission, inaccuracy, hallucination, interruption, or unavailability of any output, regardless of the form of action and whether based in contract, tort (including negligence), strict liability, statute, or any other legal theory, and even if a Blocksight Party has been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, the aggregate liability of the Blocksight Parties arising out of or relating to your use of the Agent shall not exceed the limitation of liability set forth in the Terms; in the absence of a specified amount in the Terms, such aggregate liability shall not exceed the greater of (i) one hundred United States dollars (US$100) and (ii) the total amounts paid by you to Blocksight for the Services during the twelve (12) months immediately preceding the event giving rise to the liability. Your sole and exclusive remedy for dissatisfaction with the Agent is to discontinue use of the Agent. For the avoidance of doubt, Blocksight's liability cap applies regardless of whether the claim arises from an agent-assisted submission, a regulatory filing error, a missed tax deadline, a market-maker engagement, or any other high-consequence use of the Agent.

Nothing in this Disclaimer or in the Services creates any custody, safekeeping, or asset-management relationship between you and Blocksight. Blocksight does not take possession of, or exercise control over, your digital assets, private keys, funds, or any other property at any time. Any agent-assisted features relating to custody applications, OTC desk introductions, or liquidity-provider onboarding are limited to document assembly and information routing at your explicit direction; you contract directly with any custodian or OTC desk, and Blocksight is not a party to those arrangements.

The limitations in this Section apply notwithstanding the failure of essential purpose of any limited remedy. Certain jurisdictions do not permit the exclusion or limitation of certain warranties or damages; in such jurisdictions, the liability of the Blocksight Parties shall be limited to the smallest extent permitted by applicable law, and nothing in this Disclaimer is intended to exclude or limit any liability that cannot lawfully be excluded or limited, including, where applicable, liability for fraud, fraudulent misrepresentation, willful injury, gross negligence, violations of applicable consumer-protection or unfair-or-deceptive-acts-or-practices law, the right to seek public injunctive relief, or death or personal injury caused by negligence.

7. User Inputs

You agree not to submit to the Agent (i) private keys, seed phrases, account credentials, authentication tokens, or other access secrets; (ii) personally identifiable information of third parties for which you do not have a lawful basis to disclose; (iii) material non-public information of any issuer or counterparty; or (iv) content that is unlawful, infringing, defamatory, or otherwise in violation of the Terms. You are solely responsible for the inputs you submit to the Agent and for the consequences of doing so.

8. Data and Privacy

Your interactions with the Agent, including the content of your queries and the Agent's responses, are processed and retained as described in the Privacy Policy. By using the Agent, you consent to processing of such interactions as reasonably necessary to operate, secure, support, and maintain the Agent, including for purposes of service operation, quality assurance, safety and abuse prevention, troubleshooting, and evaluation. Use of your interactions to train, fine-tune, evaluate, or test the artificial intelligence or machine-learning models that underlie the Agent ("Model Training") is a separate and distinct purpose. Blocksight will use your interactions for Model Training only as further described in the Terms and the Privacy Policy. You may withdraw consent at any time as described in the Privacy Policy.

9. Benchmarking and De-identification

To the extent Blocksight uses your interactions with the Agent or your Customer Content to generate benchmark analyses, market comparisons, or industry reference data (including data derived from prior token generation events, market-maker terms, or allocation distributions), such use will employ only strictly de-identified and aggregated data from which no individual customer, counterparty, or confidential transaction term can be identified or reconstructed. Blocksight will not surface your identifiable or confidential deal terms, contractual conditions, or proprietary information to other users or third parties. Agent Action Data (including records of your Human-in-the-Loop Gate approvals, timestamps of your consent, and the identity of third parties to whom materials were transmitted at your direction) is retained as described in the Privacy Policy and is used solely for compliance, dispute resolution, and service-quality purposes.

10. Enterprise Tier

Customers subscribed to the Enterprise Tier are eligible to elect, at the time of Enterprise plan enrollment in the application (or, where available, through account settings), to opt out of the use of their interactions with the Agent, including the content of queries, the Agent's responses, and other Customer Content for Model Training (as defined in the Terms of Service) ("Model Training Opt-Out Election"). The opt-out requires an affirmative election by the customer, presented as a clear, separately labeled choice during the enrollment flow. Customers who do not make this election remain subject to the standard Model Training license described in the Terms of Service and the Privacy Policy. Where a customer has made a Model Training Opt-Out Election, Blocksight will use commercially reasonable efforts to ensure that third-party model and inference providers also honor the election, and will contractually require such providers not to retain or train on opted-out content to the extent technically feasible. The election applies prospectively from its effective date and ceases to apply if the account downgrades from the Enterprise Tier.

11. Feedback

If you believe a response is incorrect, misleading, harmful, or otherwise problematic, you may submit feedback through the in-product feedback controls (including the thumbs-down control) or by contacting us at help@blocksight.xyz. Submission of feedback is encouraged but does not, by itself, give rise to any claim or cause of action against any Blocksight Party.

12. Changes to this Disclaimer

We may revise this Disclaimer from time to time to reflect changes in the Agent, the Platform, our contributor network, applicable law, or our business. The "Effective Date" above reflects the most recent revision. Your continued use of the Agent following the posting of a revised Disclaimer constitutes your acceptance of the revised Disclaimer. Where required by applicable law, we will provide additional notice and obtain affirmative consent before revisions take effect with respect to you.

13. Relationship to the Terms; Governing Law; Severability

This Disclaimer supplements, and is incorporated into, the Terms and the Privacy Policy. In the event of any conflict between this Disclaimer and the Terms, the Terms shall control. The governing-law, venue, dispute-resolution, arbitration, class-action waiver, and jury-trial-waiver provisions of the Terms apply to this Disclaimer. If any provision of this Disclaimer is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect.

14. Marketing Statements

Statements made on the Blocksight website, marketing materials, slide decks, one-pagers, or other promotional content, including, without limitation, any claims regarding AI accuracy, automation rates, absence of "hallucinations," percentage of operations automated, or comparisons to human professional services, are not warranties, representations, or contractual commitments, and do not modify, supplement, or supersede this Disclaimer or the Terms. The no-reliance clause in Annex A §11(d) of the Terms expressly covers all such marketing and promotional statements.
